Viziro Terms of Service — Pilot Program

These Terms of Service (“Terms”) govern access to and use of the Viziro construction site management application and related services (the “Service”) during the pilot evaluation period, by the company and its authorized users (“Customer”, “you”) as agreed with Viziro (“Viziro”, “we”, “us”).

Note on legal entity: Viziro is currently operated by its founder in a personal capacity pending incorporation of a registered company in the United Arab Emirates. This section will be updated with the full legal entity name, jurisdiction, and registered address once incorporation is complete.

1. Acceptance of Terms

By accessing or using the Service, Customer agrees to be bound by these Terms. If you are entering into these Terms on behalf of a company, you confirm you have authority to bind that company.

2. The Service

Viziro provides a construction site management platform, including project, materials, and workforce/HR management features, as further described on our Site and in the Privacy Policy.

4. Accounts and Access

Customer is responsible for managing user access within its organization, including creating and deactivating user accounts, and for maintaining the confidentiality of login credentials. Customer is responsible for all activity that occurs under its account.

6. Acceptable Use

Customer agrees not to: (a) use the Service for any unlawful purpose or to store unlawfully obtained data; (b) attempt to reverse engineer, decompile, or gain unauthorized access to the Service or its underlying systems; (c) interfere with or disrupt the integrity or performance of the Service; or (d) share account credentials with unauthorized individuals.

8. Third-Party Services

The Service relies on third-party providers, including AWS, OpenAI, Resend, and Mouseflow, as described in the Privacy Policy. Viziro is not responsible for outages or issues caused by these third parties, but will use reasonable efforts to address their impact on the Service.

9. Confidentiality

Each party agrees to protect the other’s confidential information disclosed during the pilot with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as needed to perform its obligations under these Terms or as required by law.

10. No Warranty

The Service is provided during the Pilot Period on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. As a pilot-stage product, the Service may contain bugs, undergo changes, or experience downtime. Viziro does not guarantee any specific level of uptime or availability during the Pilot Period.

11. Limitation of Liability

To the maximum extent permitted by law, Viziro’s aggregate liability arising out of or relating to these Terms or the Service during the Pilot Period shall not exceed the total fees paid by Customer to Viziro in the twelve (12) months preceding the claim, or, if the pilot is provided free of charge, a nominal amount to be agreed between the parties. In no event will Viziro be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

12. Indemnification

Customer agrees to indemnify and hold Viziro harmless from any claims, damages, or expenses arising from: (a) Customer Data entered into the Service; (b) Customer’s breach of these Terms; or (c) Customer’s violation of applicable law, including labour and data protection law.

13. Termination

Either party may terminate participation in the pilot at any time with 14 days’ written notice. Viziro may suspend or terminate access immediately in case of a material breach of these Terms, including unlawful use of the Service.

14. Changes to the Service and These Terms

Viziro may update the Service or these Terms from time to time, particularly as the product evolves during the pilot phase. Material changes to these Terms will be communicated to Customer by email or in-App notice.

15. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless the parties agree in writing to an alternative dispute resolution mechanism (such as DIFC courts or arbitration).

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between Customer and Viziro regarding the pilot and supersede any prior agreements on this subject, unless otherwise agreed in writing.
